Affiliate & Creator Network Agreement

Notice: This document is intended only for internal participation within the RIXSTO Affiliate Team.

This Affiliate Participation Agreement ("Agreement") governs the binding legal relationship between RIXSTO ("Company", "We", "Us") and the participating digital content creator, influencer, or independent promoter ("Participant", "Creator", "You").

By accessing the secure RIXSTO Creator Dashboard, utilizing our internal link tools, or sharing generated recommendations, you explicitly acknowledge that you have read, understood, and agreed to be bound by the protocols, expectations, and legally protective clauses detailed below.

1. Independent Contractor Status (Non-Employment)

The Participant operates strictly as an independent affiliate promoter. This Agreement does not establish, imply, or create any employer-employee relationship, joint venture, partnership, franchise, legal agency, or representative status between the Participant and RIXSTO. You have no legal authority to bind RIXSTO to any contracts or make official representations on our behalf. You are entirely responsible for handling your own operational tools, hardware, taxes, and regulatory compliances.

2. Commission-Based Compensation Architecture

• Performance Metric: The Participant explicitly acknowledges that participation is 100% commission-based, linked directly to valid, completed conversions tracked by the system.

• No Guarantees: RIXSTO provides no fixed monthly salary, no guaranteed minimal income, no hourly wages, and no retainer fees. If no valid conversions are recorded by the tracking matrix, no payout obligations exist.

3. Content Ownership, Guidelines, and Absolute Prohibitions

• Content Liability: Participants retain ownership of the promotional media they create, but assume full, unshared legal liability for the content they publish across their distribution channels.

• Zero-Tolerance Prohibitions: You agree to completely refrain from utilizing spam tactics, misleading or exaggerated product claims, domain or brand impersonation, copyright or trademark violations, or platform-manipulating actions.

• Ad Restrictions: You are strictly prohibited from purchasing paid search engine advertisements (such as Google Ads or Bing Ads) targeting RIXSTO branded keywords, variations, or typos to redirect traffic through your affiliate links.

• Mandatory Disclosure: All promotions must display clear, conspicuous disclosures identifying the content as a sponsored or tracked affiliate recommendation, in strict alignment with regional consumer protection guidelines.

4. External Platform Liability Waiver

RIXSTO operates independently of external social media channels (including but not limited to Instagram, YouTube, TikTok, Facebook, and WhatsApp). RIXSTO bears zero liability or financial responsibility if your third-party social media accounts face algorithmic reach reductions, shadowbans, content takedowns, community guideline strikes, or permanent account terminations resulting from your promotional activities.

5. Proprietary Tracking, Attribution Analytics, and Payout Disclaimers

• System Authenticity: All outbound tracking traffic, unique clicks, conversion attributions, and commission metrics are handled exclusively via RIXSTO’s internal data sync infrastructure and proprietary link-masking navigation tools.

• Single Source of Truth: You explicitly agree that the data compiled by RIXSTO's internal platform serves as the final, binding, and absolute authority for determining all performance payouts. No external tracking logs or creator-side analytics will be accepted to contest system totals.

• Payout Timelines: Payout scheduling, processing windows, and final clearings vary based on affiliate platform reporting cycles, merchant confirmation periods, and user return/refund validation windows. Commissions on items that are returned, cancelled, or flagged as fraudulent will be automatically deducted.

• Fraud Prevention: Any attempt to manipulate tracking, execute "cookie-stuffing" methods, deploy automated click bots, simulate artificial traffic, or reverse-engineer our secure link-masking navigation architecture will trigger immediate account closure and the absolute forfeiture of all accrued metrics and pending payments.

6. Creator Dashboard Security and Intellectual Property

• Access Control: Authorized Participants are granted personal, restricted access to a secure, password-protected internal dashboard.

• Credentials Restrictions: The dashboard layout, sync scripts, underlying software logic, and custom curation tools are the exclusive intellectual property of RIXSTO. You are strictly forbidden from sharing your dashboard login credentials, internal tool interfaces, or restricted backend URLs with any third party.

• Session Security: Sessions utilize timed, secure authentications. You are solely accountable for ensuring your sessions are locked out properly. RIXSTO is not liable for data leaks, performance loss, or setting alterations stemming from compromised creator access credentials.

7. Mandatory Confidentiality

During your participation and at all times thereafter, you agree to keep strictly confidential all non-public information concerning RIXSTO's business operations, internal dashboard mechanics, backend software scripts, data integrations, and specific commission metrics. You may not publish screenshots, source code, or internal platform processes to any public forum or third party without prior written consent from RIXSTO management.

8. Right of Removal, Suspension, and Termination

RIXSTO reserves the absolute right to restrict, suspend, or permanently terminate your participation in the affiliate network at any time, with or without cause, and without prior notice. Reasons for immediate termination include contract breach, suspected traffic fraud, dashboard credential sharing, or brand reputation damage. Upon termination, dashboard access will be instantly blocked, and all linked tracking paths will be deactivated.

9. Agreement Updates and Amendments

As the RIXSTO infrastructure expands, these participation terms may evolve, scale, or be amended. Updates take effect immediately upon being posted or shared within internal creator channels. A Participant’s decision to continue generating links, accessing the dashboard, or remaining within the internal team after updates are issued constitutes full legal acceptance of the modified terms.

10. Indemnification and Limitation of Liability

The Participant agrees to indemnify, defend, and hold harmless RIXSTO and its operators from any claims, damages, liabilities, costs, or legal fees arising from the Participant's breach of this contract, copyright infringements, or misleading promotional claims. RIXSTO provides all scripts, tools, and dashboard accesses on an "as-is" basis and is not financially liable for occasional server downtime, tracking link interruptions, or external API data synchronization delays.

11. Governing Law and Legal Jurisdiction

This Agreement shall be exclusively governed by, construed, and enforced in accordance with the laws of India. Any legal disputes, interpretations, or court proceedings arising directly out of this agreement or your participation on the team shall be handled exclusively within the jurisdiction of the courts located in Chennai, Tamil Nadu, India.
